Job Summary:
Seeking a transactional attorney to support the company's rapidly growing renewable energy platform. Reporting directly to the Deputy General Counsel, this individual will serve as a key legal partner to the development, construction, procurement, and operations teams, supporting utility-scale solar and energy storage projects across the United States. The candidate will be responsible for drafting and negotiating agreements including MSA’s, PPA’s and EPC agreements

This is an excellent opportunity for an attorney looking to move into a highly visible, business-facing role within one of the fastest-growing segments of the energy industry. This individual must be comfortable operating in a fast-paced, high-volume environment while balancing legal risk with commercial objectives.

Requirements:
 

  • Juris Doctor from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction.
  • Minimum of 2 years of legal experience.
  • Prior renewable energy industry experience.
  • Prefer someone coming from in-house with another IPP or open to seeing candidates from an AMLaw 100 firm but must have renewable energy experience
  • Experience drafting and negotiating complex commercial agreements, including:
    • EPC Agreements
    • Equipment Supply Agreements
    • Capital Procurement Agreements
    • Power Purchase Agreements
    • Operations & Maintenance Agreements
  • Experience managing commercial disputes and claims.
  • Ability to prioritize multiple transactions and deadlines simultaneously.

Responsibilities:
 

  • Draft, negotiate, and manage EPC agreements for utility-scale renewable projects.
  • Negotiate equipment supply agreements and capital equipment procurement contracts.
  • Support operations through negotiation of O&M agreements and service agreements.
  • Draft and negotiate MSAs, consulting agreements, and procurement-related contracts.
  • Review and manage NDAs and confidentiality agreements.
  • Advise internal stakeholders on contractual risk allocation and commercial strategy.
  • Manage upstream and downstream contractual risk across multiple projects.
  • Support claims management and dispute resolution with contractors, suppliers, and vendors.
  • Coordinate with and manage outside counsel and consultants as required.
  • Provide legal guidance and training to internal business teams.
